Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of Vayro ("Service"), operated by the individual trading as Vayro, based in the United Kingdom ("we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Definitions

  • Service — The Vayro platform accessible at app.vayro.ai and mcp.vayro.ai, including all APIs, dashboards, and hosted MCP infrastructure.
  • User / You — Any individual or entity that creates an account or uses the Service.
  • Project — A configuration within Vayro that generates and hosts an MCP server from an OpenAPI specification.
  • MCP Server — A Model Context Protocol server hosted by Vayro on your behalf.
  • Upstream API — The third-party or user-owned API that a Project connects to.
  • AI Client — Any application that connects to an MCP server, including but not limited to Claude, ChatGPT, Cursor, and VS Code.

3. Account & Registration

You must sign in using Google OAuth to create an account. You agree to provide accurate information and keep your account secure. You are responsible for all activity under your account.

You may not create multiple accounts, share account access, or transfer your account to another party without our written consent.

4. Service Description

Vayro allows you to paste or link an OpenAPI specification and generates a hosted MCP server that AI clients can connect to. The Service includes tool generation, OAuth authentication for AI clients, usage analytics, request logging, and rate limiting.

We do not guarantee the availability, accuracy, or performance of your Upstream API. Vayro acts as a proxy layer between AI clients and your API. We are not responsible for errors, downtime, or data returned by your Upstream API.

5. Plans & Billing

The Service is offered under three plans: Free ($0/month), Pro ($49/month), and Business ($149/month). Plan limits (projects, requests per month) are described on our Pricing page.

Paid subscriptions are billed monthly via Stripe. By subscribing, you authorise recurring charges to your payment method. Subscriptions auto-renew unless cancelled before the next billing cycle.

You may cancel your subscription at any time through the billing section of your dashboard or via the Stripe customer portal. Upon cancellation, your paid plan remains active until the end of the current billing period, after which your account reverts to the Free plan.

Refunds are not provided for partial billing periods. If you believe you were charged in error, contact us at privacy@vayro.ai.

We reserve the right to change pricing with at least 30 days' notice. Price changes will not affect your current billing period.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Abuse, overload, or interfere with the Service or its infrastructure.
  • Attempt to circumvent rate limits, usage quotas, or plan restrictions.
  • Use the Service to proxy requests to APIs you do not have authorisation to access.
  • Reverse-engineer, decompile, or disassemble any part of the Service.
  • Resell, sublicense, or redistribute the Service without our written consent.
  • Transmit malware, spam, or any content that is harmful, offensive, or infringes on the rights of others.

7. Upstream API Credentials

You may provide API keys, bearer tokens, or other credentials for your Upstream API. These credentials are encrypted at rest using AES-256-GCM and are decrypted only in-memory during tool call execution. We do not log or store decrypted credentials.

You are solely responsible for the security and validity of your Upstream API credentials. You must ensure you have the right to use any API you connect to Vayro. We are not liable for any charges, data loss, or consequences arising from the use of your credentials through the Service.

8. Intellectual Property

The Service, including its design, code, and documentation, is owned by us and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service except as expressly permitted.

You retain all rights to your OpenAPI specifications, API data, and any content you provide. MCP tools generated by the Service are derived from your specifications and are considered your content.

9. Third-Party Trademarks

Claude is a trademark of Anthropic, PBC. ChatGPT and OpenAI are trademarks of OpenAI, Inc. Cursor is a trademark of Anysphere, Inc. VS Code and Copilot are trademarks of Microsoft Corporation. Windsurf is a trademark of Codeium, Inc. LangChain, n8n, and other product names mentioned on this site are trademarks of their respective owners. Vayro is not affiliated with, endorsed by, or sponsored by any of these companies. Third-party names and logos are used solely to indicate compatibility with these platforms.

10. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.

11. Availability & Service Levels

We strive to provide a reliable service but do not guarantee uninterrupted or error-free operation. The Service is provided on a "best effort" basis. We may perform scheduled maintenance, which may temporarily affect availability.

We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice. We will make reasonable efforts to provide advance notice of significant changes.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold us harmless from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including Upstream API terms of service; or (d) any content or data you transmit through the Service.

14. Termination

You may terminate your account at any time by contacting us at privacy@vayro.ai. Upon termination, your projects, data, and credentials will be permanently deleted.

We may suspend or terminate your access immediately if you violate these Terms, engage in fraudulent activity, or if continued use poses a risk to the Service or other users. Sections 8, 9, 12, 13, and 16 survive termination.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes at least 30 days in advance via email or a notice in the dashboard. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
